Printed Directory/Magazine Advertisement Sale Terms and Conditions

1. Acceptance of Terms
By purchasing an advertisement in our printed directory, you agree to be bound by these terms and conditions in their entirety. These terms constitute a legal agreement between you and St Louis Black Pages, Inc. herein referred to as  ‘Black Pages’.

2. Advertisement Placement
2.1. Black Pages will use its best efforts to place the advertisement in the requested section of the printed directory. However, we reserve the right to determine the final placement, size, and design of the advertisement.

2.2. If the requested placement is not available, Black Pages will make reasonable efforts to inform you in advance and provide alternative options.

3. Advertisement Content
3.1. You are solely responsible for the content of your advertisement, including its accuracy, legality, and compliance with intellectual property rights.

3.2. Black Pages reserves the right to reject or request modifications to any advertisement that we believe is inappropriate, offensive, or violates any laws or regulations.

4. Payment
4.1. The payment for the advertisement must be made in full prior to the printing and distribution of the directory, unless otherwise agreed upon in writing.

4.2. All payment amounts are non-refundable, except in cases where Black Pages fails to include the advertisement in the printed directory.

5. Intellectual Property
5.1. You warrant that you have the necessary rights, licenses, and permissions to use any trademarks, logos, or graphics included in the advertisement.

5.2. You grant Black Pages a non-exclusive, worldwide, royalty-free license to reproduce, publish, and distribute your advertisement in connection with the printed directory.

6. Indemnification
You agree to indemnify and hold Black Pages, its employees, agents, affiliates, and successors harmless against any claims, liabilities, losses, damages, costs, or expenses arising out of or related to your advertisement or any breach of these terms and conditions.

7. Limitation of Liability
Black Pages shall not be liable for any indirect, consequential, incidental, special, or exemplary damages arising out of or in relation to the advertisement sale or the use of the printed directory, regardless of whether such damages were foreseeable or not.

8. Termination
Black Pages reserves the right to refuse or terminate any advertisement sale if it determines, at its discretion, that the advertisement violates these terms and conditions or any applicable laws or regulations.

9. Governing Law and Jurisdiction
These terms and conditions shall be governed by and construed in accordance with the laws of the United States in the St Louis area of Missouri. Any disputes arising out of or in connection with the advertisement sale shall be subject to the exclusive jurisdiction of the courts of the United States in the St Louis area of Missouri.

By purchasing a printed directory advertisement from Black Pages, you acknowledge and agree to the terms and conditions stated above.
